Cloudware produces cloud-based programming products. Founded by Barrie J. Osborne in April, 2010, Cloudware trademarked the term Total Business Management and the name CloudBooks for its product line. The company began as a programming project to develop an accounting system that would take care of the majority of the vagaries that exist in the more popular software programs currently available.
The original CloudBooks accounting suite has grown in scope to become a Total Business Management and Accounting Platform that will be the only programming suite that a business will need to administer its financial and management processes. Using current methodology and industry trends, Cloudware has developed a ‘total business management programming platform’ that is completely cloud based and can be customized for any business, in any industry. Currently, Cloudware has two main product lines, both of which support the innovative and exclusive Multi-Lingual Interface, Audit Dump and Analytical Instrumentation that make the products unique and open to a truly international marketplace.

The Company produces/provides the following products/services:

  • TBM Platform: A total business management and operations platform that is customizable for all businesses with unlimited users.
  • TBM (CloudBooks): A full service accounting and bookkeeping program for small/medium businesses, and
  • TBM Pro: An accounting and finance suite enabling professional accountants and other service professionals to manage a larger portfolio of clients from a single dashboard.
The Executive Summary subtopics are discussed in full detail under the "Cloudware TBM Attributes" main category.

xAPI is highlighted as a topic of interest from the investor point of view in adding to residual income.

The Market
Cloudware LLC will target three main customer groups:

  1. The first group consists of those businesses that currently use off-the-shelf accounting and business administration products and are unhappy with the product. It is anticipated that this segment of the accounting and financial programming market would be in the region of 8% of users (approx... 4.4M), accounting for potential sales of 350,000 units of TBM (CloudBooks).
  2. The second group will consist of business owners who desire greater control of the way their businesses are being run. This section of the market is expected to be in the region of 65% of the owners of businesses that cover the total scope of business and industry type (approx. 27M). The anticipation would be for 3% of this market to invest in the TBM Platform product, accounting for potential sales of 810,000 units of Cloudware TBM Platform.
  3. The third group is the Multi-Lingual Interface programming that allows for the CW products to be totally global and fully functional in any country. This section of the market covers all worldwide businesses (approx. 44.9M). The anticipation of sales would be 0.005% of this market, plus 15% of the TBM (CloudBooks) and TBM Platform markets, accounting for potential sales of 398,500 units.

Taking the annual failure rate of existing businesses and the annual influx of new businesses it is expected that the annual net growth would be in the region of 12% - a high rate of growth for the Cloudware product line in the foreseeable future.

Risk/Opportunity
The greatest risks associated with our business today are the ever changing methods employed in the technology industry. We feel we can overcome these risks because of:

  1. Delivering high quality programming that is set themselves from any others in value and performance.
  2. Maintaining superior levels of security for user data and information under HIPAA guidelines.
  3. Providing superior customer service and technical support.
  4. Increase net income margins in an overhead rich environment.
  5. Bring new programming and products into the mix to increase sales volume.
  6. Placing high emphasis on the innovative and proprietary Multi-Lingual Interface.
  7. Creative exploitation of analytic instrumentation.

Our biggest recognized opportunities will be:
(i) The inclusion of the Multi-Lingual Interface with the TBM programming which will make the Cloudware products stand out in the industry. Users of other programs are able to purchase software versions in different languages, however these versions are for individual languages and do not integrate with any other language. Because the Cloudware TBM programming is server-based and works through the ‘cloud’ we have been able to correct this situation and write our programs so that they not only integrate, but they can be changed as often as the user likes, and internal documents can be translated on the fly.
To our knowledge this innovative programming is only available with the Cloudware software products, and is therefore exclusive and will be covered by a separate patent.
(ii) The addition of xAPI Experiential Analytics to give product and customer performance feedback, facilitating new levels of business management performance.
At this moment, this initiative is leading-edge for contemporary technology in general, and unique in the business software market. Analytics, correctly implemented and exploited, will give Cloudware TBM an assured distinctive advantage over market competitors at launch.

Relevant Internet and Business trends

Closing the Business ROI loop is potentially the biggest and most significant trend -- incorporating most of the others...

"The key here is recognizing that business and technical objects produce system results. A project starts with its business and project objectives. Project objectives, in turn, inspire creation of the system objects. The system objects then do the actual work. If the system results don't meet the business (or project) objectives, then either the project objectives are unrealistic, there were unplanned internal or external events, or the system objects (which are responsible for execution) didn't do their job.
Closed Loop Object Oriented Design can't address the first two possibilities, but it can address the third possibility..."
[Source

xAPI analytics will accelerate and facilitate this trend from this time forward.

Big Data is a very loose term which evokes an image of vast accumulations of chaotic numbers that need advanced data processing, such as AI and data mining to infer meaning and make sense of.

Within this field there are two sub-trends emerging that, combined with "design for data," can yield meaningful and actionable information to be exploited by Cloudware TBM.

These are:
Experiential Analytics (attempting to measure meaningful human experience in technological interactions) and
Internet of Things (data logging from various devices and equipment connected across the Internet).

"Getting ROI from the Web Is Everyone's Job"

A key element of the revolution in education is the emphasis on interactive, exploratory, and collaborative learning activities. Many of these activities will be implemented using tablet devices that are connected, through the cloud, to the systems used by other students, teachers, parents, content publishers, and educational institutions.
During this period of rapid change in education and training, plug-and-play interoperability accelerates innovation and adoption by lowering the barrier to entry for new products: reducing costs and risks. Building new functionality on top of existing data is key to innovation on the web.

The IEEE is running a two-year development project to promote the concepts of contemporary learning requirements and the communication of actionable data to management based on experiential analytic data gathering.
Cloudware is leveraging the best practices of these initiatives in the commercial domain.

Experience API now offers instrumentation for almost ANY interaction with technology.

'Experiential' refers to the objective of capturing meaningful data on the individual user experience, (including workflow goals, tasks and other relevant activity) rather than merely recording transactional log entries from the system and demographics of the users.

Cloudware TBM meets the challenge of the Cloud -- which is to truly create a synergy between platforms, software on demand and universal access, while actually simplifying the user experience and reducing cost of ownership.

Geolocation is the identification of the real-world geographic location of an object, such as a radar, mobile phone or an Internet-connected computer terminal.
Geolocation may refer to the practice of assessing the location, or to the actual assessed location.
Geolocation is closely related to the use of positioning systems but can be distinguished from it by a greater emphasis on determining a meaningful location (e.g. a street address) rather than just a set of geographic coordinates.

xAPI Scope

Important: Though conceived and developed as a method of delivering learning and training content and promoting interoperation of educational technologies, the Experience API is now recognized as a flexible, and publicly-available method of tracking almost any interaction with technology.

What is the Tin Can API?
The Tin Can API (also known as the Experience API or xAPI) is a new specification for learning technology that makes it possible to collect data about the wide range of experiences a person has (online and offline). This API captures data in a consistent format about a person or group’s activities from many technologies. Very different systems are able to securely communicate by capturing and sharing this stream of activities using Tin Can’s simple vocabulary.
...
When an activity needs to be recorded, the application sends secure statements in the form of “Noun, verb, object” or “I did this” to a Learning Record Store (LRS.)
Learning Record Stores record all of the statements made. An LRS can share these statements with other LRSs. An LRS can exist on its own, or inside an LMS.

The freedoms of the Tin Can API

Statement freedom: the structure of “statements” using nouns, verbs and objects lets you record almost any activity. Think: “I did this.”
History freedom: the Tin Can API allows LRSs to talk to each other. LRSs can share data and transcripts with one another, and your experiences can follow you from one LRS (or organization) to another. Learners can even have their own “personal data lockers” with their personal learning information inside them.
Device freedom: any enabled device can send Tin Can API statements (mobile phones, simulations, games, a CPR dummy, the list goes on). A constant network connection isn't necessary — occasional connectivity is fine.
Workflow freedom: tracking learning events doesn't have to start or end in an LMS, it can start wherever the learner is and on whatever device they choose to use. Your content isn't tied to an LMS.

The Advanced Distributed Learning Initiative is the organization that commissioned and manages xAPI.

Rustici Software was the contractor that created the original xAPI specification and is a leading xAPI implementer (including their Watershed LRS HR initiative).
Rustici retains usage of the original project codename "Tin Can" (which has the connotation of bidirectional communication during the formative consultation phase of the specification).

Analytics
The CloudBooks TBM accounting and business management suite is more than merely competitive and current with its clearly-superior universal access, multi-platform, multilingual and collaborative features. Cloudware now raises the bar even higher as the first adopter in the industry of the very latest in experiential user analytics instrumentation.**
This forward-looking innovation will offer customers enhanced evidence of compliance, options for procedural supervision, and collection of actionable management data.
For the future, analytics of operations will also enable better management of staff development, task assistance and training requirements. Employees can be recognized for their expertise and diligence and CPAs will have more reassurance about day-to-day operations and focus on optimization.

** Cloudware is an adopter of the Advanced Distributed Learning Initiative (ADL) Experience API specification (xAPI also known as 'TinCan').

More xAPI information:
Experience API/TinCan overview

Cloudware TBM has unique revenue and growth potential by virtue of the integration of analytics and the company's awareness of current businesses' needs:
CloudBooks with xAPI analytic instrumentation is a platform upon which several income-generating innovations can be devised. These subtopics detail some directions Cloudware is investigating.

There will also be residual income from monthly charges for access to private LRS ("Learning Record Store") servers. Such access is currently charged by early-adopting vendors at $100-$150 per month.

Though increasing competition may be expected to drive this price down somewhat, improved aggregation and display of accrued data would also be expected to maintain or improve this price point.

Digital Asset Capitalization has been a promoted feature of Digital Asset Management (DAM) for 10-15 years but a practical and appropriate accounting mechanism for small and medium sized companies has not been available to date.
This capitalization can add a significant increase to the value of a company according to GAAP.

TBM's use of analytics coupled with any DAM solution will now be able to provide this capability.

The analytic reporting experience and accumulated portfolio will allow Cloudware to advise existing and new customers on good practice and best-of-breed methods.
Where business assets are not in use or partly used, then detailed documentation can be produced to show the exact contribution to the business of the key capital equipment and property.

This detailed information, previously very tedious to acquire and compile, can then be used to minimize the tangible property tax liability of the company.
Time keeping and the precise determination of correct billable hours will be greatly enhanced by analytics.
In addition to time stamping of behavioral statements, the GPS location and operational; context will all be more precisely recorded and support the resulting time calculations.

The burden of timesheet recording activities could be greatly reduced, or eliminated in some cases.

There are many other possibilities under consideration.
This prospectus/platform description contains the selected areas of concentration for the integration of analytics into the Cloudware TBM platform but design and development of future possibilities is ongoing and abundant.

For example, support of XBRL (eXtensible Business Reporting Language -- gradually becoming a more widespread requirement) could be adopted relatively easily by TBM. [See also].

Bringing many benefits to Cloudware itself in assuring the quality of users’ experience, the usefulness of all customer-facing aspects of CloudBooks TBM modules can also be enhanced by integrated analytics.  The system shows how results are obtained, not just what the outcomes are.  Users may request detailed and customized reports on any aspect of their business operations.

The initial specific concentrations for the CloudBooks xAPI module development will be Human Resources, Asset Management, and Production Control:

Human Resources

Internal

  • Policies – Monitoring of operations procedures and procedural changes
  • Manuals – Evidence of diligence in checking reference materials
  • Recruitment – Aptitude and Business familiarity testing

External

  • Evidence of regulatory compliance
  • Evidence of operations for tax reporting (e.g. tangible asset audits)
  • Employee Development
  • Identifying knowledge gaps and mastery levels for training and promotions

Asset Management

  • Fixed Assets – Tracking of Acquisition and Usage
  • Tangible Property – Monitoring deployment, installation, testing and maintenance of production assets for correct assessment of revenue generation versus costs
  • Digital Assets – Asset Capitalization and Enterprise Re-Use of Digital Assets

Production Control

  • Time Management – All individual business operations or complete workflows are recorded accurately
  • Materials and Inventory – Trends and production process requirements will be revealed in fine-grain detail, when required
  • Process Efficiency – Equipment, Personnel and all operations can be more accurately measured against trends and goals

xAPI Technical Overview
[Resource: xAPI Technical Overview -- Rustici]

CloudBooks incorporates Advanced Distributed Learning Initiative (ADL) Experience API (xAPI) specification calls at key points in the TBM accounting suite processing.
'Actor-Verb-Object' statements in English and required national languages are conveyed to a secure Learning Record Store (LRS). This database can provide behavioral information in support of several business and regulatory requirements and provides a platform for future innovative analysis tools. An LRS can be firewalled and, if required, also syndicated to propagate information to other LRSs in a corporate network.
The xAPI Specification also supports a State API to facilitate session management, data store and forward, platform-hopping and other state-related requirements. In addition, subsidiary statements allow for goal- and intention-setting statements, which can later be evaluated against accumulated user experience tracking.
The Learning Record Store
An LRS can have aggregation and summary statistical presentation capabilities of its own but Cloudware also intends to engineer an Analytics Dashboard module that will give a varied and customizable analysis of the data being collected. The module will support queries based upon temporal information, business area, specific personnel, and accounting workflow events.
Several publicly available LRS servers currently exist for connectivity and data analysis testing, such as from: ADL ('ADL_LRS'); SALT ('Saltbox'); HT2 ('Learning Locker'); Rustici (Public LRS and SCORM Cloud LRS); etc.
When required, a private implementation of an LRS server is created from open source code:
[ https://github.com/adlnet/ADL_LRS ]. There is also the possibility to create a private instance of an LRS linked to the Rustici testbed:
An LRS has its own API to facilitate SQL-like data queries (as in the 'xAPI Dashboard' [ https://github.com/adlnet/xAPI-Dashboard ]) or in a menu-driven implementation, such as http://tincanapi.com/public-lrs/ (use "Show Advanced Options).

Coding Notes
The xAPI standard version 1.0.1 is available via:
http://www.adlnet.gov/wp-content/uploads/2013/10/xAPI_v1.0.1-2013-10-01.pdf .
xAPI statements are written as JSON (JavaScript Object Notation), usually from a JavaScript wrapper embedded in the content page or executable code.
There are now also several other wrappers and code libraries available for xAPI implementations within other language codebases. [see https://github.com/RusticiSoftware ].
Several Development tools and libraries are created and maintained by the xAPI adopter community:  http://tincanapi.co.uk/content.htm?sectionNumber=four&contentDataURL=developer-resources/toolsandlibraries.htm . These resources provide testbeds; examples, debug tools; code stubs and infrastructural modules.

Audit dump -- constrained scope of response to official audit enquiries.

A CloudBooks proprietary program that allows a business to select date information for the type of regulatory audit they will be undergoing and the dates of the audit period; the system will then automatically select only the information pertinent to the audit process, alleviating the need for auditors to work directly in the main accounting system...thus causing less disturbance to the business staff and processes.
Basic backup is a crucial and often overlooked issue for customers.

With Cloud access then any failure of hardware or software or even loss of premises entirely does not compromise business data and management.

In addition to hourly backups the platform will also save data of multiple users on the exit of the last participant from a collaborative task.

The CloudBooks MLI is a notable, distinctive feature of this platform and is the subject of much inquiry.
Status: The screen translations are tested and working.
Provision is made in the architecture for real-time annotation translation to be integrated during development.
[MLI - full discussion]

All of the CloudBooks TBM programming is inclusive of the Multi-Lingual Interface and the use of ‘true’ translation. The innovation of MLI is a very key ingredient in the CloudBooks TBM programming in that it makes CloudBooks a global force.

From the main access menu of the system a business user can select the language that he wishes the system to operate in, this facility also allows employees to work in alternate languages that coincide with overseas clients.

Subsidiaries and branch offices in foreign locations can also conduct their affairs in the language of their choice, with data being translated back to the main off ice in the ‘home’ language for continuity of data.

Exclusive Programming that will further enhance a business management and accounting system by:

  1. Providing translation into any language using one program only, eliminating the need for a separate program version for each language.
  2. Providing ‘real-time’ translation due to the proprietary way in which the programing is designed.
  3. Allowing for translation of individual documents so that they can be transmitted to the end user in a language they understand.
  4. Allowing for transmitted documents to be returned to the originator, and then ‘reverse’ translated so that records can be kept updated and consistent.
  5. Allowing individuals in the same office to work in different languages.
  6. Allowing overseas businesses, and satellite offices, to work in the language appropriate to their location.
  7. Allowing for data to be collected and retained in one language, at one central location. where it can be accessed at any time.
Documents that have been transmitted by one office in a different language can be received back, with edits, and translated back into the original language.

Company internal documents, reports and notes can be translated into any language and transmitted to the appropriate recipient. These same documents, reports and notes can be received from other offices within the company and translated into the appropriate language.
Each language will have an internal dictionary of approximately 5,000 words that will map to the fixed labeling in the system once the central language has been selected from a main menu drop down list.

Text box entries will be translated by linking the text to an internal business translation program in the selected language.
Cloudware TBM offers simultaneous collaborative working in multiple languages. (In addition to hourly backups the platform will also save data of multiple users on the exit of the last participant from a collaborative task.)

This functionality will be increasingly the norm, driven by expectations from use of popular cloud environments such as Google Drive and various social media.
